Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VisibleAI platform, websites, and APIs (the "Service"), provided by VisibleAI ("VisibleAI", "we", "us"). By creating an account or using the Service you ("Customer", "you") agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

VisibleAI lets you configure brand profiles and prompts, runs those prompts against third-party AI providers on a recurring schedule, and presents the analyzed results in a dashboard with periodic email summaries. Specific limits (number of brands, queries, scan frequency, history retention, seats) are determined by your subscription tier.

2. Accounts

  • You must be at least 18 years old and capable of entering into a binding contract.
  • You are responsible for maintaining the confidentiality of your authentication credentials and for all activity under your account.
  • You will notify us promptly of any unauthorized access to or use of your account.

3. Subscriptions, billing, and refunds

  • The Service is offered as a recurring monthly subscription billed in advance through Stripe.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
  • You can cancel any time from the Billing page; the cancellation takes effect at the end of the current period and your data remains accessible until then.
  • Except where required by law, fees are non-refundable. We may, at our discretion, issue prorated credits for documented service incidents.
  • Plan changes (upgrades or downgrades) take effect immediately and we prorate the difference automatically.
  • Taxes and currency-conversion fees may be added depending on your jurisdiction and payment method.

4. Acceptable use

You agree not to, and not to permit any other party to:

  • Use the Service to violate any law, regulation, or third-party right.
  • Submit prompts intended to generate or extract personal data, defamatory content, malware, or content that infringes intellectual property.
  • Reverse-engineer, scrape, or attempt to derive the source code, algorithms, or non-public infrastructure of the Service.
  • Resell, sublicense, or expose the Service or its outputs to third parties as a substitute platform without a written agreement.
  • Interfere with the integrity, performance, or security of the Service, including by exceeding documented rate limits.

5. Customer content and license

You retain ownership of all content you submit to the Service, including brand information, prompts, and any data exported from your workspace ("Customer Content"). You grant VisibleAI a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely as needed to operate, secure, and improve the Service for you. We will not use Customer Content to train any general-purpose machine learning model.

6. AI-generated content

Outputs returned by third-party AI providers ("AI Outputs") are produced by independent systems and may be inaccurate, incomplete, or outdated. We do not warrant the truthfulness or fitness for any particular purpose of AI Outputs. You are solely responsible for any decisions you make based on them. AI Outputs may include third-party trademarks; VisibleAI does not claim ownership of or endorse such third parties, and references appear only as analytical artifacts of the underlying prompts.

7. Intellectual property

The Service, including all software, design, text, graphics, and logos (other than Customer Content), is owned by VisibleAI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms during your subscription term. All rights not expressly granted are reserved.

8. Confidentiality

Each party may disclose non-public business or technical information ("Confidential Information") in connection with the Service. The receiving party will (i) protect Confidential Information with the same care it uses to protect its own, but no less than reasonable care; and (ii) use it only for purposes of performing under or evaluating the Service. Customer Content is treated as your Confidential Information.

9. Service availability

We aim to make the Service available 24/7. We may perform scheduled maintenance, push updates, or respond to incidents that briefly interrupt the Service. We will use commercially reasonable efforts to minimize disruption.

10. Termination

  • You may cancel your subscription at any time via the Billing page or by emailing us.
  • We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or engage in conduct that exposes us or other customers to risk.
  • Upon termination, your access ends immediately. We will, on request and within 30 days of termination, allow export of Customer Content. After 30 days we may delete remaining Customer Content from active systems.

11. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT AI OUTPUTS WILL BE ACCURATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBLEAI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL VISIBLEAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You will indemnify and hold harmless VisibleAI from third-party claims arising out of (a) your breach of these Terms; (b) Customer Content; or (c) your use of the Service in violation of law or any third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws. The parties consent to exclusive jurisdiction of state and federal courts located in Delaware for any dispute not subject to arbitration. Any claim must be filed within one (1) year after it arises.

15. Changes

We may update these Terms from time to time. Material changes will be notified to active customers at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.
